ELDERASSIST TERMS OF SERVICE

IMPORTANT MEDICAL DISCLAIMER
ElderAssist is NOT medical software. This application is a family coordination and reminder tool. It does NOT provide medical diagnosis, treatment recommendations, emergency medical response, or access to medical records. Medication reminders are based on schedules entered by family members, NOT medical records. Wellbeing check-ins are self-reported, NOT medical diagnoses. ElderAssist is NOT a substitute for professional medical care. Always consult qualified healthcare providers for medical decisions.
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") are an agreement between you and ElderAssist LLC, a Washington (USA) limited liability company ("ElderAssist", "we", "us", or "our"). By accessing or using ElderAssist's services ("Platform"), you agree to be bound by these Terms in accordance with Thai law. If you do not agree to these Terms, do not use the Platform.
2. DESCRIPTION OF SERVICE
ElderAssist is a technology platform that:
- Enables families to monitor and coordinate care for elderly loved ones
- Provides medication reminders and wellbeing check-ins
- Connects families with independent caregivers
- Offers communication tools for families and care teams
3. NATURE OF THE PLATFORM - CAREGIVER SERVICES
IMPORTANT: ElderAssist is a technology platform that facilitates connections. We do NOT:
- Employ, endorse, or guarantee any caregiver
- Verify the authenticity of caregiver credentials - we only collect and display what caregivers upload
- Conduct background checks directly - these are performed by third-party providers
- Guarantee the quality, safety, or suitability of any caregiver
Families are 100% responsible for:
- Verifying caregiver credentials and qualifications
- Conducting their own due diligence before hiring
- Making all hiring decisions
- Supervising caregivers in their employment
4. USER ACCOUNTS
You must:
- Provide accurate, complete information during registration
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be at least 18 years old to create an account (or 20 years old per Thai Civil and Commercial Code for contractual capacity)
5. SUBSCRIPTION AND PAYMENT
- Subscription fees are billed in advance on a recurring basis
- Prices are displayed in Thai Baht (THB) for Thailand users
- Prices are subject to change with 30 days notice
- Refunds are provided only as required by applicable Thai consumer protection law
- Non-payment may result in service suspension
6. USER RESPONSIBILITIES
You agree NOT to:
- Use the Platform for any unlawful purpose
- Provide false or misleading information
- Interfere with the operation of the Platform
- Attempt to access accounts or data belonging to others
- Resell or redistribute the service without authorization
- Violate Thailand's Computer Crime Act or other applicable laws
7. INTELLECTUAL PROPERTY
All content, features, and functionality of the Platform are owned by ElderAssist LLC and are protected by copyright, trademark, and other intellectual property laws of Thailand and international treaties.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY THAI LAW:
- ElderAssist is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
- We are not responsible for acts or omissions of caregivers
- We are not responsible for medical outcomes or emergency situations
Nothing in these Terms excludes or limits liability that cannot be excluded under Thai Consumer Protection law.
9. TECHNOLOGY AND THIRD-PARTY SERVICES DISCLAIMER
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.
9.1 Third-Party Services and Infrastructure
ElderAssist relies on third-party services and infrastructure to operate, including but not limited to cloud hosting providers, data centers, payment processors, email delivery services, and telecommunications networks. ElderAssist does NOT control and is NOT liable for any failure, interruption, delay, or degradation of these third-party services, regardless of the cause.
9.2 Hardware Devices and Connectivity
Certain features of ElderAssist, including but not limited to the pendant SOS alert system, depend on hardware devices, Bluetooth connectivity, cellular networks, GPS signals, Wi-Fi networks, and smartphone functionality. ElderAssist does NOT manufacture, warrant, or guarantee the performance, reliability, or availability of any hardware device, wireless connection, or network infrastructure. You acknowledge that:
- Bluetooth connections may be interrupted by distance, obstacles, or interference
- GPS and location accuracy depend on environmental conditions and device capabilities
- Cellular and internet connectivity depend on third-party network providers
- Hardware devices may malfunction, lose battery power, or fail without warning
- Smartphone operating systems and updates may affect application functionality
9.3 Emergency and SOS Features
The pendant SOS alert and any other emergency notification features provided by ElderAssist are SUPPLEMENTARY COMMUNICATION AIDS ONLY. They are NOT substitutes for emergency services (such as 1669 or local emergency numbers). The SOS features send SMS text message alerts to designated emergency contacts—they do NOT call 1669 or any emergency services directly. ElderAssist does NOT guarantee that any alert, notification, or SOS signal will be successfully transmitted, received, or acted upon. You MUST maintain independent access to emergency services and should NEVER rely solely on ElderAssist for emergency situations. ElderAssist is NOT an emergency response service and does NOT dispatch emergency responders. Family members who receive SOS alerts are responsible for assessing the situation and contacting emergency services if needed.
9.4 No Guarantee of Availability or Performance
ElderAssist does not guarantee uninterrupted, timely, secure, or error-free operation of the Service. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet, electronic communications, and third-party platforms. ElderAssist is not responsible for any delays, delivery failures, or other damage resulting from such problems. Scheduled and unscheduled maintenance, software updates, or infrastructure changes may result in temporary service unavailability.
9.5 Force Majeure
ElderAssist LLC shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of God, pandemics or epidemics, war or armed conflict, terrorism, government actions or regulations, power outages, internet or telecommunications failures, cyberattacks, hardware failures, third-party service provider outages, or any other event beyond ElderAssist's reasonable control.
10. INDEMNIFICATION
You agree to indemnify and hold ElderAssist LLC harmless from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.
11. TERMINATION
We may terminate or suspend your account at any time for violation of these Terms. You may cancel your account at any time through your account settings.
12. DISPUTE RESOLUTION
Any disputes arising from these Terms shall be resolved through:
- Good faith negotiation
- Mediation through the Thai Arbitration Institute (if negotiation fails)
- Arbitration in accordance with Thai Arbitration Act
- Applicable law: Laws of Thailand
13. CHANGES TO TERMS
We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms.
14. LANGUAGE
These Terms are provided in English and Thai. In case of any inconsistency, the Thai version shall prevail for users in Thailand.
15. SEVERABILITY
If any provision of these Terms is found invalid under Thai law, the remaining provisions shall continue in effect.
